1. About Meexa
Meexa is a trading style of Serving Suggestion Ltd, a company registered in England and Wales under company number 16031332, with its registered office at:

In these Terms:
-
“Meexa”, “we”, “us” and “our” mean Serving Suggestion Ltd trading as Meexa.
-
“you” and “your” mean the person or business using our website, purchasing products from us or applying for a trade account.
-
“Consumer” means an individual purchasing products mainly for personal use rather than for purposes relating to their trade, business, craft or profession.
-
“Trade Customer” means a person or organisation purchasing products in connection with a trade, business, craft or profession, including retailers, hospitality businesses, wholesalers and distributors.
-
“Services” means our website, online store, trade ordering facilities and related services.
These Terms apply to your use of our Services and to purchases made directly from Meexa.
Certain provisions apply specifically to Consumers or Trade Customers. Where that is the case, we say so.
By using our Services or placing an order with us, you agree to these Terms. Trade Customers may also be required to expressly accept these Terms as part of our customer onboarding process.
Nothing in these Terms affects any rights that cannot lawfully be excluded or limited.
2. Age Restrictions and Alcohol Sales
You must be 18 years of age or older to purchase alcoholic products from Meexa.
By placing an order for alcohol as a Consumer, you confirm that you are at least 18 years old.
We may use age-verification measures when an order is placed and may require satisfactory proof of age before alcohol is delivered or handed over.
We and our delivery partners may refuse to deliver alcohol where appropriate age verification cannot be completed or where we reasonably believe that supplying the alcohol would be unlawful.
Trade Customers are responsible for ensuring that their purchase, storage, supply and resale of alcoholic products complies with all licences, permissions and legal requirements applicable to their business.
3. Website Access and Accounts
You must provide accurate, current and complete information when creating an account, placing an order or submitting information to us.
You are responsible for maintaining the security of your account credentials and for activity carried out through your account.
You must not use our website or Services:
-
for any unlawful or fraudulent purpose;
-
to interfere with the operation or security of our website;
-
to transmit malicious code;
-
to obtain unauthorised access to data or systems;
-
to scrape or systematically extract content without permission;
-
to impersonate another person or organisation; or
-
in a way that infringes our rights or the rights of another person.
We may suspend or restrict access to an account where we reasonably believe it is being used unlawfully, fraudulently or in material breach of these Terms.
4. Our Products
We take reasonable care to ensure that product descriptions, images, specifications and other information on our website are accurate.
Packaging, colours, presentation and other product details may vary slightly from images displayed online.
Product availability is not guaranteed. We may change or discontinue products or restrict quantities where reasonably necessary.
Nothing in this section limits a Consumer's statutory rights in relation to products that are faulty, not as described or otherwise fail to meet the standards required by law.
Trade Customers must store, handle, display and sell our products appropriately and in accordance with:
-
information provided on the product or packaging;
-
any reasonable instructions we provide;
-
applicable food safety requirements; and
-
applicable alcohol licensing and regulatory requirements.
Trade Customers must not alter, relabel, tamper with or misrepresent Meexa products without our prior written approval.
5. Consumer Orders
This section applies where you are purchasing from us as a Consumer.
When you submit an order, you are making an offer to purchase the products in that order.
An automated order acknowledgement confirms that we have received your order but does not necessarily mean that we have accepted it.
Your order is accepted when we confirm acceptance or dispatch the products to you.
We may decline or cancel an order before acceptance where, for example:
-
a product is unavailable;
-
there is an obvious pricing or product-description error;
-
payment cannot be authorised;
-
we cannot deliver to the address provided;
-
our age-verification requirements cannot be satisfied; or
-
accepting the order would be unlawful.
If we have taken payment for an order that we subsequently decline, we will refund the amount paid.
Please check your order carefully before submitting it.
6. Consumer Pricing and Payment
Prices displayed to Consumers include VAT where applicable.
Any delivery charges or other charges applicable to your order will be shown before you complete your purchase.
The total amount payable will be displayed before you place your order.
Prices and promotions may change from time to time, but changes will not affect orders we have already accepted.
You must provide accurate and authorised payment information.
7. Consumer Delivery
We will deliver products to the delivery address provided when the order is placed.
Any delivery dates or times shown are estimates unless we expressly agree otherwise.
Unless another delivery period has been agreed with you, we will deliver Consumer orders within the period required by applicable law.
Risk in products purchased by a Consumer passes to you when the products are delivered into your physical possession or the possession of a person identified by you to receive them.
If your order does not arrive, arrives damaged or is materially incomplete, please contact us promptly so we can investigate and put things right.
8. Consumer Cancellation, Returns and Refunds
If you purchase products from us online as a Consumer, you may have a statutory right to cancel your order without giving a reason.
Where that right applies, you normally have 14 days from the date you receive the products to tell us that you wish to cancel.
After telling us that you wish to cancel, you normally have a further 14 days to return the products.
Where you validly exercise your statutory right to cancel:
-
we will refund the price paid for the returned products;
-
we will refund the cost of our standard delivery option where required by law; and
-
the refund will be made within the period required by law.
You may be responsible for the direct cost of returning unwanted products unless we agree otherwise or the products are faulty, damaged or incorrectly supplied.
We may make a lawful deduction from a refund where the value of returned products has been reduced as a result of handling beyond what would reasonably be necessary to establish their nature, characteristics and condition.
Statutory exceptions to cancellation rights may apply to certain products or circumstances.
Our Refund Policy, available on our website, provides further information about returns.
Nothing in our Refund Policy or these Terms limits your statutory rights where products are faulty, not as described or otherwise do not conform to your legal rights.
TRADE CUSTOMER TERMS
The following sections apply in addition to the general provisions of these Terms where you purchase from us as a Trade Customer.
9. Trade Account Approval
Meexa products are available to approved Trade Customers, including retailers, hospitality businesses, wholesalers and distributors.
All new Trade Customer accounts are subject to approval by Meexa.
Businesses wishing to open a Trade Customer account must complete our New Customer Onboarding Form.
Submitting an onboarding form does not guarantee approval, create an obligation for Meexa to supply products or constitute acceptance of an order.
We may carry out reasonable checks before approving an account, including checks relating to:
-
business identity;
-
company registration;
-
VAT registration;
-
alcohol licensing;
-
AWRS registration;
-
creditworthiness;
-
trade references; and
-
other information reasonably relevant to the proposed trading relationship.
We may approve, decline, suspend or close a Trade Customer account where we have a reasonable commercial, credit, regulatory or compliance reason to do so.
10. Wholesale Customers and AWRS
Serving Suggestion Ltd trading as Meexa is approved under the Alcohol Wholesaler Registration Scheme (AWRS).
Our AWRS URN is: XSAW00000122783
Trade Customers purchasing alcohol from us for resale are responsible for making any checks of our AWRS approval required by law.
If you are applying to purchase alcohol from Meexa as a wholesaler, distributor or other business intending to make onward wholesale supplies of alcohol, you must:
-
hold a valid AWRS approval where required by law;
-
provide your AWRS Unique Reference Number to us during onboarding; and
-
maintain any required AWRS approval while purchasing from us.
We will not approve a wholesale or distributor account requiring AWRS registration without a valid AWRS URN.
We may verify AWRS registration with HMRC and may suspend or terminate supply if an approval expires, is withdrawn or cannot be verified.
Retailers, restaurants, bars, hotels and other Trade Customers that are not themselves carrying on a business requiring AWRS registration are not required by these Terms to obtain AWRS registration solely in order to purchase from Meexa.
All Trade Customers remain responsible for any alcohol licences, registrations or permissions applicable to their own activities.
11. Authority to Act for a Trade Customer
By opening a Trade Customer account, accepting these Terms or placing an order on behalf of a business, you confirm that:

you are acting for business purposes;
-
the information supplied to us is accurate;
-
you are authorised to act on behalf of the business identified on the account; and
-
you have authority to bind that business to these Terms.
Acceptance of these Terms through our onboarding process will apply to the Trade Customer account and orders subsequently placed through that account unless different terms are expressly agreed in writing.
12. Trade Orders
A purchase order or other order submitted by a Trade Customer is an offer to purchase products from Meexa.
An order becomes binding when we:
-
issue an order confirmation;
-
expressly accept the order in writing; or
-
dispatch the products,
whichever occurs first.
We may decline or limit an order before acceptance for reasonable commercial reasons, including:
-
product availability;
-
credit limits;
-
overdue invoices;
-
minimum order requirements;
-
regulatory or compliance concerns; or
-
limitations affecting production, logistics or distribution.
Forecasts, expressions of interest, expected volumes and informal discussions about future purchases are not binding commitments unless expressly agreed otherwise in writing.
13. Trade Pricing and VAT
Trade pricing will be the pricing shown in the applicable:
-
trade price list;
-
quotation;
-
order confirmation;
-
invoice; or
-
separate commercial agreement.
Unless expressly stated otherwise, Trade Customer prices are exclusive of VAT and delivery charges.
VAT will be charged at the applicable rate.
We may update general trade pricing from time to time.
A pricing change will not affect an order we have already accepted unless otherwise agreed with you.
14. Trade Payment Terms
Payment terms will be those shown on the applicable invoice, quotation, order confirmation, credit agreement or other written agreement with the Trade Customer.
Where we have not agreed credit terms, we may require payment before dispatch.
Invoices must be paid in full by the due date without deduction, withholding or set-off except where required by law or expressly agreed by us.
If an invoice becomes overdue, we reserve our rights under the Late Payment of Commercial Debts (Interest) Act 1998 and other applicable law, including the right to claim statutory interest, fixed compensation and reasonable recovery costs where applicable.
We may suspend further deliveries, place an account on hold, reduce or withdraw credit terms or require payment in advance while amounts remain overdue.
15. Trade Delivery
Delivery dates and times provided to Trade Customers are estimates unless expressly agreed in writing as binding.
The Trade Customer must provide an appropriate delivery location and arrange for an authorised person to receive the products where necessary.
The Trade Customer should inspect deliveries promptly and notify us within a reasonable period of:
-
missing products;
-
visible damage;
-
incorrect products; or
-
material discrepancies from the order.
We will investigate genuine discrepancies and, where appropriate, may replace affected products, issue a credit or provide another reasonable remedy.
16. Risk and Ownership for Trade Customers
Risk in products supplied to a Trade Customer passes to the Trade Customer when the products are delivered to the agreed delivery location.
Ownership of products does not pass to the Trade Customer until we have received payment in full for those products.
Until ownership passes, the Trade Customer must:
-
take reasonable care of the products;
-
store them appropriately;
-
keep them identifiable as products supplied by Meexa; and
-
not deliberately remove identifying marks or labels.
This section does not prevent a Trade Customer from reselling products in the ordinary course of its business before ownership passes.
17. Trade Returns
Trade Customers do not have the Consumer cancellation rights set out in Section 8.
Products supplied to a Trade Customer may only be returned with our prior agreement except where the products are defective, damaged, incorrectly supplied or another legal right applies.
We are not required to accept a return solely because:
-
a Trade Customer over-ordered;
-
customer demand was lower than expected;
-
stock did not sell through;
-
a promotion did not perform as anticipated; or
-
the Trade Customer changed its mind.
Any discretionary return or credit may be subject to reasonable requirements concerning product condition, remaining shelf life, storage history and collection or delivery costs.
18. Resale and Distribution
Approval as a Trade Customer allows you to purchase genuine Meexa products for resale in the ordinary course of your approved business.
Unless expressly agreed otherwise in writing, a Trade Customer is not granted:
-
exclusivity;
-
an exclusive territory;
-
an exclusive sales channel;
-
exclusive customer rights;
-
distribution rights beyond ordinary resale; or
-
authority to act as Meexa's agent or representative.
Any exclusivity, distribution arrangement or other special commercial right must be expressly agreed by Meexa in writing.
19. Meexa Brand and Intellectual Property
The Meexa name, logos, product designs, packaging, artwork, photographs, copy, graphics and other brand assets are owned by or licensed to us and are protected by applicable intellectual property laws.
Trade Customers may use approved Meexa brand assets for the legitimate advertising, promotion and resale of genuine Meexa products purchased from us.
Trade Customers must not, without our prior written approval:
-
materially alter our brand assets;
-
alter product packaging or labels;
-
create misleading product claims;
-
register or attempt to register Meexa branding or confusingly similar branding;
-
imply an exclusive relationship that does not exist; or
-
represent themselves as Meexa, our agent or an authorised distributor unless we have expressly authorised them to do so.
We may provide brand guidelines from time to time, and Trade Customers using our brand assets must comply with any reasonable guidelines supplied to them.
20. Product Safety, Recalls and Regulatory Matters
Trade Customers must notify us promptly if they become aware of:
-
a suspected product safety issue;
-
contamination;
-
material product damage;
-
incorrect labelling;
-
regulatory concerns;
-
a complaint suggesting a wider product issue; or
-
circumstances that may require a product withdrawal or recall.
Trade Customers must reasonably cooperate with us in relation to any product investigation, withdrawal, safety notice or recall.
Trade Customers must not make health, nutritional, ingredient, regulatory or other product claims about Meexa products that are inconsistent with information supplied or approved by us.
21. Bespoke Commercial Agreements
We may agree additional or different commercial arrangements with particular Trade Customers.
These may include:
-
pricing;
-
rebates;
-
payment terms;
-
minimum order quantities;
-
volume commitments;
-
promotional support;
-
listings;
-
distribution rights;
-
exclusivity; or
-
other account-specific terms.
Where Meexa and a Trade Customer expressly agree specific commercial terms in writing, those specifically agreed terms take precedence over these general Terms to the extent of any conflict.
All provisions of these Terms that do not conflict with the specifically agreed terms will continue to apply.
GENERAL TERMS
The following provisions apply to both Consumers and Trade Customers unless expressly stated otherwise.
22. Intellectual Property and Website Content
All content made available through the Services, including text, graphics, photographs, video, audio, branding, product imagery, designs and website content, is owned by or licensed to us or our service providers.
You may access and use the website for its intended purpose.
You must not reproduce, commercially exploit, distribute, modify or republish our website content or brand assets without permission except where permitted by law or, in the case of Trade Customers, as expressly permitted under Section 19.
23. Third-Party Services and Links
Our Services may contain links to, integrations with or functionality provided by third parties.
We are not responsible for third-party websites, services or content that we do not control.
Your use of a third-party service may be subject to that third party's own terms and privacy policy.
24. Shopify
Our online store is powered by Shopify.
Shopify provides technology that enables us to operate our online store, but purchases made from the Meexa store are made from Serving Suggestion Ltd trading as Meexa, not from Shopify.
Shopify is not the seller of Meexa products and is not responsible for fulfilling your order.
25. Privacy and Personal Information
We process personal information in accordance with our Privacy Policy, available on our website.
Information you provide through our Services may also be processed by service providers acting on our behalf, including Shopify and providers involved in payments, fulfilment, communications, analytics and other business operations.
Where applicable, those providers may process information in countries outside the United Kingdom subject to the protections described in our Privacy Policy.
Trade Customer account information may be used for purposes including:
-
account approval and administration;
-
order fulfilment;
-
invoicing and payments;
-
customer service;
-
credit and compliance checks;
-
product notices and recalls; and
-
managing our commercial relationship.
Marketing communications are handled separately in accordance with applicable privacy and electronic marketing law.
26. Errors and Corrections
Occasionally, information on our website may contain an error or omission relating to matters such as:
-
product descriptions;
-
pricing;
-
promotions;
-
availability;
-
delivery charges; or
-
delivery estimates.
We may correct errors and update information when identified.
If an error affects an order you have submitted but we have not yet accepted, we may decline the order and invite you to place a corrected order.
If an error is identified after a contract has been formed, your rights and our obligations will depend on the circumstances and applicable law.
27. Events Outside Our Reasonable Control
We will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances outside our reasonable control.
These circumstances may include disruption affecting:

production;
-
ingredients or packaging;
-
suppliers;
-
transport or logistics;
-
utilities;
-
telecommunications;
-
import or export processes;
-
government action;
-
labour disputes;
-
natural events; or
-
other comparable circumstances.
We will take reasonable steps to minimise disruption where practicable.
Nothing in this section removes any rights a Consumer has under applicable law.
28. Liability to Consumers
Nothing in these Terms excludes or limits our liability where doing so would be unlawful.
In particular, nothing excludes or limits liability for:
-
death or personal injury caused by our negligence;
-
fraud or fraudulent misrepresentation; or
-
breach of rights that cannot lawfully be excluded.
Nothing in these Terms limits a Consumer's statutory rights, including rights relating to products that are faulty, not as described or not of satisfactory quality.
If you are a Consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible to Consumers for losses relating to a business, including loss of business, revenue or profit, because our Consumer products are supplied for private use.
29. Liability to Trade Customers
Nothing in these Terms excludes or limits liability for:
-
death or personal injury caused by negligence;
-
fraud or fraudulent misrepresentation; or
-
any liability that cannot lawfully be excluded or limited.
Subject to the above and to the extent permitted by law, we will not be liable to a Trade Customer for:
-
indirect or consequential loss;
-
loss of profit;
-
loss of revenue;
-
loss of business;
-
loss of anticipated savings;
-
loss of goodwill; or
-
loss of commercial opportunity.
Subject to any liability that cannot lawfully be limited, our total aggregate liability arising out of or in connection with a particular Trade Customer order will not exceed the amount paid or payable to us for the products under the order giving rise to the claim.
Nothing in this section is intended to exclude or restrict liability where doing so would fail any applicable legal requirement of reasonableness.
30. Confidentiality for Trade Customers
Where either Meexa or a Trade Customer receives commercially sensitive information from the other that is reasonably understood to be confidential, that information must not be disclosed or used for purposes outside the trading relationship except:
-
with the other party's permission;
-
where reasonably required by professional advisers who are subject to confidentiality obligations;
-
where the information is already legitimately public; or
-
where disclosure is required by law.
31. Ending or Suspending Our Relationship
Consumers may stop using our Services at any time.
Consumer order cancellation rights are set out in Section 8.
We may suspend website access where reasonably necessary for security, technical, legal or compliance reasons.
For Trade Customers, we may suspend or close an account for a reasonable commercial reason, including:
-
material breach of these Terms;
-
overdue payment;
-
insolvency or serious credit concerns;
-
loss of a required licence or registration;
-
loss of required AWRS approval;
-
suspected fraud;
-
regulatory concerns; or
-
misuse of the Meexa brand.
Closing or suspending a Trade Customer account does not affect amounts already due or rights and obligations relating to orders already accepted.
32. Changes to These Terms
We may update these Terms from time to time.
The current version will be published on our website with its effective date.
Changes will apply to future use of our Services and future orders from the effective date of the updated Terms.
Changes will not retrospectively alter an order we have already accepted unless:
-
the change is required by law; or
-
we and the customer expressly agree otherwise.
For Trade Customers that have expressly accepted a particular version of these Terms through our onboarding process, we may require acceptance of an updated version before accepting further orders where the changes are material.
33. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where that is not possible, removed.
The remainder of these Terms will continue in effect.
34. No Waiver
If we do not immediately exercise a right or remedy available to us, that does not mean we have waived that right or remedy.
35. Assignment
Consumers may not transfer an order or their rights under these Terms where doing so would materially affect our rights or obligations without our agreement.
Trade Customers may not assign or transfer their rights or obligations under these Terms without our prior written approval.
We may transfer our rights and obligations where permitted by law, provided that doing so does not reduce a Consumer's legal rights.
36. Entire Agreement for Trade Customers
For Trade Customers, these Terms together with:
-
an accepted order;
-
quotation;
-
order confirmation;
-
invoice;
-
account-specific terms; and
-
any separate written commercial agreement
form the agreement relating to the relevant supply of products.
This section does not exclude liability for fraud or fraudulent misrepresentation.
This section does not limit any rights available to Consumers.
37. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
If you are a Trade Customer, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or products supplied by us, unless we expressly agree otherwise in writing.
If you are a Consumer, you retain any rights you have under applicable law concerning where proceedings may be brought.
